DESIGNATION OF AN INDEPENDENT DIRECTOR “CHAIRMAN OF THE RISK COMMITTEE” TO THE BOARD OF DIRECTORS OF BH BANK
Fiscal Years: 2026‑2027‑2028
In accordance with the current legislation—particularly the provisions of Article 47 of Law No. 2016‑48 of 11 July 2016 on banks and financial institutions, and the General Decision of the Financial Market Council No. 23 of 10 March 2020 concerning the criteria and procedures for appointing independent members to the Board of Directors, the Supervisory Board, and the representative of minority shareholders—BH Bank is launching a call for applications to appoint an independent director to its Board of Directors for the fiscal years 2026‑2027‑2028.
The appointed director will, in addition to actively participating in Board deliberations, preside over the Risk Committee.
Eligibility & Requirements
- Candidates must be natural persons.
- They must meet the conditions set out in the Terms of Reference (document available for download on BH Bank’s website: www.bhbank.tn).
The participation conditions, required documents, and the selection methodology are detailed in the aforementioned Terms of Reference.
Submission Procedure
All interested candidates for the position of Independent Director – Chairman of the Risk Committee must submit their application dossier by registered mail in a sealed envelope with acknowledgment of receipt, or via Rapid‑Poste, or by hand‑delivery (against receipt) to the Central Order Office at the following address:

- Applications will be accepted in a single phase.
- The dossier must be presented in one envelope containing the documents listed in Article 3 of the Terms of Reference.
- The envelope must be addressed to Mr. President of the Board of Directors of BH Bank and bear the following legend:

Deadline
The application dossiers must arrive no later than 13 March 2026 at 12:00 PM. The stamp of the Central Order Office will serve as proof of receipt; any dossier lacking this stamp will be rejected.
